Our "No-Risk Structure" means we do not require API integration, ingestion of your proprietary PRO data, or create operational dependency. However, you remain solely responsible for your underlying data and systems.
You agree to provide accurate and complete information as reasonably requested by us to perform the Services. You retain all ownership rights to your data. You are responsible for complying with all applicable laws and regulations related to your rights catalog and metadata.
All content, features, and functionality on our Site, including but not limited to text, graphics, logos, and our internal platforms (VerseIQ, TrapRoyaltiesPro, SMPT/Roya), are owned by Perfecthold LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any of our content without our express written consent.
You retain all rights to your metadata, catalogs, and any underlying royalty data. Any reports we generate for you are for your internal use only.
We will treat any non-public information you provide to us as confidential and will not disclose it to third parties except as necessary to provide the Services, comply with law, or as otherwise permitted by you.
Fees for our Services, if any, will be outlined in a separate engagement letter or pilot study agreement. Unless otherwise agreed, all fees are due within 30 days of invoice.
YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY METADATA INCONSISTENCIES IDENTIFIED WILL RESULT IN RECOVERED ROYALTIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERFECTHOLD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; OR (C) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PRECEDING 12 MONTHS.
You agree to defend, indemnify, and hold harmless Perfecthold LLC, its affiliates, and its respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your data caused damage to a third party.
We may terminate or suspend your access to the Site or Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately.
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
